Fractional and interim C-suite leadership in Singapore

Singapore is the one market in the region where the case for fractional leadership is often not about cost at all. It is about whether you can legally hire the person.

Employer CPF is capped at S$17,340 a year and is not payable on Employment Pass holders, so there is no statutory cost to avoid. What there is instead is COMPASS — the points framework that gates every Employment Pass. Its local-employment-share criterion means a two-person foreign-owned company scores zero on that axis and frequently cannot obtain a pass for a senior foreign hire at any salary below S$22,500 a month.

For a great many companies here, a contracted senior executive is not the cheaper option. It is the only lawful route to the expertise.

Work permitsWork physically performed in Singapore requires a pass; there is no consultant visa. The practical structures are an offshore consultancy invoicing for services rendered abroad with no withholding, appointment as a non-executive director with fees taxed at 24%, an Employment Pass sponsored by the executive’s own entity — often blocked by COMPASS — or an EntrePass for eligible founders.

The regimes that change the answer, rather than the ones that sound like they should.

Employment Pass qualifying salary and COMPASS

EP salary floor S$5,600 at age 23 rising to S$10,700 at 45+, and higher in financial services; rising again in January 2027. Stage 2 requires 40 COMPASS points, and the local-employment-share criterion is the one that defeats small foreign-owned entities. Exemption from COMPASS at a fixed monthly salary of S$22,500.

Fair Consideration Framework

A fourteen-day MyCareersFuture advertisement is required before most EP applications. Non-compliance leads to debarment from work pass privileges.

Companies Act s.145

At least one director must be ordinarily resident in Singapore, and a company secretary must be appointed within six months. Foreign-owned entities usually buy a nominee resident director — a live governance question when the fractional executive is the only senior person on the ground.

IRAS withholding tax

Non-resident director’s fees 24%; non-resident professionals 15% of gross. Crucially, there is no withholding where the services are performed wholly outside Singapore — the single most important line in a cross-border fractional contract.

Workplace Fairness Act 2025

Singapore’s first anti-discrimination statute, applying to employers with 25 or more staff, requiring grievance handling and barring discrimination in hiring and dismissal. It raises the process cost of a bad senior hire.

Why companies here buy it

  • A foreign-owned SME frequently cannot obtain an Employment Pass for a full-time foreign executive because of COMPASS. Contracted leadership is the only legal route to that expertise.
  • Employer CPF is capped at S$17,340, so the saving is not statutory-cost avoidance but pure salary avoidance — a S$300,000 package against a S$120,000 retainer.
  • Regional headquarters structures need CFO-grade capability across several ASEAN entities long before any one of them justifies a full-time hire.

How business is done

  • Titles are audited here, not decorative. MOM cross-checks job title, salary and company profile on every EP application, and MAS-regulated entities need named, approved appointment-holders. A nominal "fractional CFO" can simply be rejected as not credible for the role.
  • Tripartite compliance culture means senior hiring documentation — the fair consideration advertisement, the retrenchment notification — is scrutinised by the state in a way most Western markets do not replicate.

  • Singapore has 345,100 enterprises. 99% are SMEs, but they generate only about 26% of value-added.
  • 77% of all enterprises turn over less than S$1m and contribute 3% of value-added — a very large base of sub-scale firms that cannot fund a full C-suite.
