Fractional and interim C-suite leadership in Sydney

Australia is the most mature fractional market covered here. Portfolio careers and non-executive-director-plus-fractional combinations are normal and carry no stigma, so the supply side is deep and the sell is short.

It is also the market with the sharpest classification risk. Since August 2024, section 15AA of the Fair Work Act requires employment status to be determined by the real substance and practical reality of the relationship rather than the contract’s labels — reversing the earlier contract-primacy position. Sham contracting penalties reach the greater of AUD 495,000 or three times the underpayment.

For executive-level engagements above the contractor high income threshold, a written opt-out notice preserving contractor characterisation is the standard risk-management step, and the ATO’s personal services income rules need engineering into the engagement letter separately.

Practical routes are permanent residency or citizenship, business or global talent streams, non-executive director arrangements, or contracting from offshore with no permanent establishment. In practice most fractional executives in Sydney are already Australian residents.

Fair Work Act s.15AA

From August 2024, employment status is determined by the real substance, practical reality and true nature of the relationship assessed on its totality, not by the contract’s labels. This is the single most important rule for structuring a fractional engagement in Australia.

Contractor high income threshold opt-out

A worker earning above the threshold may give written notice opting out of the s.15AA definition, preserving contractor characterisation. Executive fractional engagements are usually above it, making the opt-out notice standard practice.

Sham contracting

Misrepresenting employment as contracting. The defence narrowed to a reasonableness test, and penalties reach AUD 19,800 for individuals and the greater of AUD 495,000 or three times the underpayment for larger businesses, plus PAYG and superannuation charge penalties.

Personal services income rules

A one-person fractional executive company almost always fails the 80% rule with a single dominant client, attributing income to the individual and denying deductions. The results test — paid for a result, own equipment, liable for rectification — is the usual escape and should be engineered into the engagement letter.

Director Identification Number

Mandatory before appointment as a director of an Australian company, applied for personally, with no exceptions — required even for a short interim directorship.
