Fractional and interim C-suite leadership in Auckland
New Zealand has one requirement that creates standing demand for fractional directorship with no full-time job attached to it. Section 10 of the Companies Act 1993 requires every New Zealand company to have at least one director who lives in New Zealand — or lives in Australia and is also a director of an Australian company. An offshore parent simply cannot incorporate without one.
The 2026 Employment Relations Amendment Act then gave the market something rare: a genuine safe harbour. A worker is a specified contractor, immune from reclassification, if a written agreement says so, they may work for others, they have flexibility over hours or may subcontract, they are not terminated for declining work, and they had a reasonable opportunity to take independent advice. That is a checklist a fractional engagement can be drafted to satisfy.
With no payroll tax and no statutory redundancy, the cost gap between employing and contracting is smaller here than in Australia. New Zealand buyers choose fractional for access to scarce senior talent in a 617,000-enterprise market, not for tax arbitrage.

Every New Zealand company must have at least one director living in New Zealand, or living in Australia and also a director of an Australian company. This is the most common commercial driver for fractional and interim directorship here.

A worker is a specified contractor immune from reclassification only if all five conditions are met — written agreement, freedom to work for others, flexibility over hours or a right to subcontract, no termination for declining work, and a reasonable opportunity to take independent advice. Fail one and the ordinary real-nature test applies.
NZD 200,000 personal grievance exclusion
Employees on total remuneration at or above NZD 200,000 cannot bring an unjustified dismissal personal grievance. This materially reduces the downside of a full-time senior hire and narrows the fractional case at the top of the market.
Director duties and the officer duty
Companies Act duties of good faith and proper purpose attach personally, and the Health and Safety at Work Act officer due-diligence duty applies to anyone exercising significant influence over the business — including a fractional COO — regardless of directorship.
